1. Purpose
The Parties want to discuss and carry out website development work and may share confidential information to do so.
2. Confidential information
Anything shared for the Purpose that is marked confidential or would reasonably be seen as confidential, including designs, code, logins, pricing, and the identity and details of either Party’s clients.
3. Obligations
Use it only for the Purpose, protect it with reasonable care, and share it only with team members bound by the same duty.
4. Exclusions
Information that is public, already known, received lawfully from someone else, or independently developed.
5. White label
Finest Web Geek will not reveal its involvement to the Agency’s clients or place credits, links or branding in delivered work.
6. Non-solicitation
Finest Web Geek will not offer services directly to any client introduced by the Agency for 24 months after the last project.
7. Return or deletion
On request or at the end of the work, confidential information, including logins, is returned or deleted.
8. Term
This agreement lasts 3 years. Confidentiality duties survive for 3 years after it ends.
9. Governing law
This agreement follows the laws of [the Agency’s country or US state].
